2. The Servn Platform & Services

Servn delivers an integrated operational software platform specifically engineered for service businesses:

• ServnCore: Centralized CRM, customer record tracking, lead pipeline management, and cross-tool data synchronization.
• ServnAssist: AI conversational assistants capable of inbound call answering, voice synthesis, speech-to-text triage, automated appointment scheduling, and SMS lead follow-up.
• ServnCapture: Interactive quote funnels, dynamic cost calculators, instant qualification forms, and digital onboarding.
• Servn Websites: High-performance lead generation web properties integrated directly into the Servn operating system.

We may continually enhance, update, or modify our features to deliver superior performance, reliability, and security.

3. Accounts & Responsibilities

You must be at least 18 years of age and representing a legitimate commercial enterprise to create an account. You agree to:

• Provide accurate, current, and verifiable business information during registration.
• Maintain the confidentiality of administrative credentials and API keys.
• Promptly notify Servn at [email protected] if you suspect any unauthorized account compromise.
• Accept full responsibility for all activities, calls, automated messages, and data transactions executed under your account.

4. Acceptable Use & Anti-Spam Policy

You agree not to misuse the platform. Specifically, you warrant that you will NOT:

• Transmit unsolicited telemarketing calls, robocalls, or commercial SMS spam in violation of federal, state, or international laws.
• Harvest, buy, rent, or trade non-consented consumer lists for automated outreach.
• Impersonate any person, government entity, emergency service, or brand without legal authorization.
• Use the platform to harass, defraud, intimidate, defame, or deceive consumers.
• Reverse engineer, decompile, disassemble, or derive the source code of the Servn platform or AI models.
• Bypass rate limits, security perimeters, or conduct unauthorized vulnerability penetration tests on Servn infrastructure.

Violation of the Acceptable Use Policy results in immediate account suspension and termination without refund.

Servn utilizes cutting-edge generative artificial intelligence and large language models to assist your business. You understand and agree to the following operational parameters:

• AI Nature of Output: AI conversational agents generate responses probabilistically. While Servn implements rigorous prompt guardrails and knowledge boundaries, AI may occasionally produce inaccurate, unexpected, or incomplete statements (“hallucinations”).
• Customer Oversight: You are solely responsible for reviewing appointment bookings, price quotes, and commitments made during automated interactions before commencing physical contracted work.
• No Guaranteed Conversion: Servn provides productivity and operational tools; we do not guarantee specific sales conversion rates, revenue targets, or business outcomes.

8. Subscriptions, Fees & Renewals

• Subscription Billing: Services are billed on a recurring monthly or annual basis as designated in your plan. Billing occurs automatically at the beginning of each billing cycle.
• Usage-Based Charges: Telephony minutes, SMS carrier surcharges, and overage AI tokens are billed based on metered consumption as outlined in your plan schedule.
• Cancellations: You may cancel your subscription at any time via your account portal. Cancellation takes effect at the end of the current paid billing period; no partial refunds are provided.
• Taxes: All listed fees are exclusive of applicable federal, state, or local sales taxes unless explicitly stated otherwise.

9. Confidentiality & Security

Each party agrees to safeguard the other party’s non-public proprietary information with the same degree of care it exercises with its own confidential information (and never less than reasonable care). Servn maintains strict technical and organizational controls to protect customer confidentiality as detailed in our Privacy Policy and Security Center.

10. Suspension & Termination

We reserve the right to suspend or terminate your access immediately if:

• You breach any material term of this Agreement or our Acceptable Use Policy.
• Payment is delinquent following written notice and a 7-day cure window.
• Your account generates abnormal carrier spam complaints, TCPA lawsuits, or carrier blocking.
• Continued operation poses a security vulnerability to other platform tenants.

11. Warranties & Disclaimers

EXPRESS DISCLAIMER

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVN PLATFORM, INCLUDING ALL AI AGENTS, SOFTWARE, INTEGRATIONS, AND DOCUMENTATION, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, OR FREE FROM TEMPORARY LATENCY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SERVN TECHNOLOGIES, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITY, DATA LOSS, OR COST OF SUBSTITUTE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO SERVN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless Servn, its affiliates, and their respective officers, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of: (a) your violation of this Agreement; (b) any violation of the TCPA, CAN-SPAM, or telecommunications laws arising from communications initiated by your account; or (c) your Customer Data.

14. Governing Law & Arbitration

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved through confidential, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

15. Modifications & Contact

We may update these Terms periodically to reflect evolving legal, regulatory, or product updates. Notice of material changes will be provided via email to account administrators or posted prominently in the subscriber dashboard. Continued use of Servn following notice constitutes agreement to the updated terms.
